(1) Documents and certificates that should be submitted for the establishment and registration of a partnership enterprise:

1. "Application Form for Enterprise Establishment Registration" (including "Application Form for Enterprise Establishment Registration", "Natural Person Registration Form" List of shareholders (sponsors), investors of sole proprietorships, partners of partnerships", "Corporate Domicile Certificate" and other forms);

2. Identity certificates of all partners;

3. "Designation (power of attorney) letter";

4. Partnership agreement;

5. Proof of ownership of capital contribution;

6. "Company name in advance" Approval Notice" and "List of Pre-Approved Name Investors";

7. If the partnership agreement stipulates or all partners decide to entrust one or several partners to perform partnership affairs, they must also submit Letter of authorization signed by all partners;

8. "Corporate Secretary (Contact Person) Registration Form";

9. If the business scope involves pre-licensed projects, relevant approvals should be submitted Department approval document. (2) Documents and certificates that should be submitted for registration of changes in partnership enterprises:

1. "Application Form for Registration (Filing) of Enterprise Changes (Restructuring)" (including "Enterprise Changes (Reorganization) Registration (Filing)") Restructuring) Registration Application Form, "List of Natural Person Shareholders (Promoters), Sole Proprietorship Investors, and Partnership Partners after Change", "Responsible Person Registration Form", "Corporate Domicile Certificate" and other forms. Change of partners: new partner identity certificate. To change the executor of partnership affairs: a power of attorney signed by all partners. Change of business scope: If a new business project involves pre-licensing, approval documents from the relevant approval department should be submitted. Enterprises registered in Zhongguancun Science and Technology Park should submit a "Letter of Commitment" if they apply for business projects without specific approval. Attention: If laws, administrative regulations and decisions of the State Council stipulate that changes to license documents are required before changing registration items, the changed license documents should be submitted together with the change registration.

(3) Documents and certificates that should be submitted for deregistration of a partnership enterprise:

1. "Application for Cancellation of Enterprise Registration";

2. "Designated ( Letter of Entrustment";

3. Liquidation report signed by all partners. The liquidation report should state that: (1) claims and debts have been cleared; (2) taxes and employee wages have been paid;

4. Original and duplicate of "Partnership Business License"; due to failure to participate in the annual inspection When an enterprise that has had its business license revoked goes through the deregistration process, it should also go through the procedures for lifting the warning restrictions on its partners (executors of partnership affairs).

Submit the following documents and certificates:

1. "Application for Cancellation of Enterprise Registration", with the reason for cancellation stating "The business license has been revoked due to failure to participate in the annual inspection in accordance with the law.
